6.0 Officers of the Executive

6.1

Election of Officers shall take place at an Annual General Meeting of the Guild by the members. Only Regular or Spouse Members, in good standing for one year may hold office.

6.2

Nomination to the Executive must be by a member in good standing, must be seconded by a member in good standing, and must also be accepted by the nominee prior to the election.

6.3 PRESIDENT

The President shall:

a. be the spokesperson for the Guild,
b. represent the Guild at all functions where the Guild=s presence is requested or required, or appoint an alternative,
c. attend and chair all Executive and General meetings,
d. ensure the Guild follows its Constitution and By-laws,
e. be a signing authority for cheques drawn on the Guild=s bank accounts,
f. administer the general management and direction, subject to the authority of the Executive, of the business affairs of the Guild,
g. have the power to appoint and remove any and all employees and agents of the Guild not elected by the membership, and to settle their terms of employment and remuneration, and
h. have such other powers and duties as the Executive as a whole may prescribe.

6.4 VICE-PRESIDENT

The Vice-president shall:

a. perform the duties and exercise the powers of the President during the absence or disability of the President,
b. in the absence of the President, represent the Guild at all functions where the Guild=s presence is requested or required,
c. attend all Executive and General meetings,
d. be a signing authority for cheques drawn on the Guild=s bank accounts,
e. be responsible for the Ex-officio positions,
f. be responsible for Standing and Special Committees and present reports to the Executive as required,
g. advise the Secretary of the Ex-officio/Committee members who have earned points under the Guild=s point system, and
h. perform such other duties as the President may prescribe.

6.5 SECRETARY

The Secretary shall:

a. attend and be the secretary of all Executive and General meetings,
b. enter or cause to be entered in books kept for that purpose, minutes of all Guild meetings,
c. record, or cause to be recorded, all points earned by members on the Guild=s point system,
d. pick up from the Post Office and process Guild mail,
e. give or cause to be given as and when instructed, all notices to members and Executive,
f. be the custodian of all books, papers, correspondence, documents and other instruments belonging to the Guild, except when some other officer or agent has been appointed for that purpose, and have them available at the Executive and General meetings, and
g. perform such other duties as the President may prescribe.

6.6 TREASURER

The Treasurer shall:

a. attend all Executive and General meetings,
b. be one of two required signing authorities for all cheques drawn on the Guild=s bank accounts,
c. prepare at the beginning of each fiscal year, an operating budget for the coming fiscal year and present same to the general membership for approval. This approval shall constitute authority for the Executive to expend funds in relation to approved budget amounts which must not be exceeded by more than ten percent without reference to the general membership,
d. review all cheque requisitions submitted by the Executive responsible for the particular expenditure, and pay all such duly authorized accounts,
e. receive and endorse for collection all cheques and other instruments of payment, except credit card receipts, and deposit them in the Guild=s bank or trust company account,
f. collect and deposit into the Guild=s bank or trust account all cash received from any Guild business or functions,
g. keep full and accurate books of account in which shall be recorded all receipts and disbursements of the Guild,
h. render to the Executive and the membership, whenever required, an account of all financial transactions of the Guild and of the financial position of the Guild,
i. render to the Executive and the membership, whenever required, a balance sheet for the Guild,
j. maintain an inventory of all the Guild=s equipment,
k. file with Revenue Canada, or cause to be filed, the Guild=s annual Corporate Tax Return,
l. perform such other duties as the President may prescribe.

6.7 MARKET COORDINATOR

The Market Coordinator shall:

a. attend all Executive and General meetings,
b. be a signing authority for cheques drawn on the Guild=s operating bank account,
c. negotiate and sign contracts as required for the Markets on behalf of the Guild,
d. receive the market applications and fees and verify the applicants= market qualifications,
e. forward the market fees to the Treasurer for deposit,
f. prepare cheque requisitions as required and forward together with the related invoices to the Treasurer for payment,
g. be responsible for the establishment of market committees and co-ordinate the working of these committees,
h. update, disseminate, and enforce the Market Regulations,
i. update and enforce, or cause to be updated and enforced, the Craft Standards for the Guild Market,
j. prepare and submit news advertisements for the Guild=s markets,
k. be a custodian of the Guild=s fax machine,
l. co-ordinate all aspects of markets, and
m. perform such others duties as the President may prescribe.

6.8 NEWALETTER EDITOR

The Newsletter Editor shall:

a. attend all Executive and General meetings
b. prepare cheque requisitions as required and forward together with the related invoices to the Treasurer for payment,
c. gather information, prepare and duplicate the Guild=s newsletter,
d. prepare for, or co-ordinate the newsletter committee for the distribution of the Guild=s newsletter to all members before each General, Annual General and Special Meeting, and
e. perform such other duties as the President may prescribe.

6.9 PROGRAM COORDINATOR

The Program Coordinator shall:

a. attend all Executive and General meetings,
b. prepare cheque requisitions as required and forward together with the related invoices to the Treasurer for payment,
c. plan and organize the coming year=s program for the General Meetings,
d. organize fund-raisers for the Guild and for charities the Guild supports,
e. receive funds from the Guild program fund-raisers and forward same to the Treasurer for deposit into the Guild=s bank account,
f. be responsible for conducting the program including arrangements for introducing and thanking speakers, and
g. perform such other duties as the President may prescribe.

6.10 PUBLICITY COORDINATOR

The Publicity Coordinator shall:

a. attend all Executive and General meetings,
b. prepare cheque requisitions as required and forward together with related invoices to the Treasurer for payment,
c. prepare and submit news releases for all Guild functions,
d. prepare and submit news releases in conjunction with the Market Coordinator for the Guild=s markets,
e. negotiate and sign contracts as required on behalf of the Guild for promotional activities,
f. co-ordinate promotional activities for the Guild,
g. work in concert with other Executive members concerning publicity, and
h. perform such other duties as the President may prescribe.

6.11 MEMBERSHIP SECRETARY

The Membership Secretary shall:

a. attend all Executive and General meetings,
b. receive and answer enquiries about the Guild and membership in the Guild,
c. be a custodian of the Guild=s answering machine,
d. receive the membership applications and dues,
e. forward membership dues to the Treasurer for deposit,
f. verify the membership qualification of the applicants,
g. keep full and accurate records of the annual members of the Guild, compile a list of the Guild members and distribute the list to the members,
h. keep an updated version of the >Guildbook= and distribute to new members,
j. distribute, or cause to be distributed, Guildbook changes to all members,
k. prepare cheque requisitions as required and forward together with related invoices to the Treasurer for payment,
l. maintain an inventory of Guild pins and ensure all new members receive one with their Guildbook,
m. ensure the content of the membership application form is current,
n. maintain an adequate inventory of membership application forms, and
o. perform such other duties as the President may prescribe.

6.12 CREDIT CARD COORDINATOR

The Credit Card Coordinator shall:

a. attend all Executive and General meetings,
b. negotiate contracts with credit card service providers,
c. receive credit card sales slips from members and process same,
d. prepare cheques, supported by a reconciling statement, for members,
e. is a signing officer on bank accounts relating to credit card activities,
f. prepares and disseminates instructions as to the operation of the credit card system,
g. perform such other duties as the President may prescribe.
